Terms of Service

1. The Service
Vyndigital ("we", "us") designs, builds and maintains websites for clients ("you") under the following arrangement: we build your website at no upfront cost. If you are satisfied with the finished website, you pay a one-time launch fee of $900 AUD to put it live, followed by an ongoing maintenance plan of $30 AUD per month.
2. The Offer
Our offer is straightforward:
- We design and build a website based on information you provide.
- You review the finished website on a private preview link before any payment is made.
- If you approve the website, you pay the $900 AUD launch fee, we put it live on your domain, and the monthly maintenance plan begins.
- If you do not approve the website, no payment is required. However, we retain full ownership of all work produced, including designs, code, content, and any associated materials. You may not use, reproduce, or distribute any part of the work.
3. Payment
The $900 AUD launch fee is due upon your approval and must be received before the website is made publicly accessible. The $30 AUD monthly maintenance plan begins on the go-live date and is billed monthly in advance.
The maintenance plan covers keeping your website online and in good order: hosting, SSL certificate, security updates, regular backups, uptime monitoring, email forwarding, and management of your domain renewal.
The maintenance plan does not include changes to your website. Edits to text, images, pages, layout or structure are quoted separately and charged per request. We will always confirm the price with you in writing before starting any change, and you are never obligated to proceed.
4. Ownership and Intellectual Property
Before the launch fee is received:
- All intellectual property, designs, code, and content remain the sole property of Vyndigital.
- You are granted no licence, implied or otherwise, to use any materials produced.
Once the launch fee is paid and while your subscription remains current:
- You are granted an exclusive, ongoing licence to use the website for your business.
- Vyndigital retains ownership of the underlying code, design and templates.
- Any content, logos, photographs or text that you supply remain your property at all times.
- Your domain name remains registered to you and is yours regardless of this agreement.
- We may display the work in our portfolio unless you request otherwise in writing.
Full ownership of the website code and files may be transferred to you for a one-time buyout fee, agreed in writing at the time of request.
4a. Hosting and Cancellation
Either party may cancel the monthly maintenance plan with 30 days' written notice. On cancellation:
- The website will be taken offline at the end of the paid period.
- Your domain name remains yours, and we will release it to any provider you nominate.
- We will provide a copy of the text and images you supplied, at no charge.
- The launch fee is not refundable, as it covers work already completed and delivered.
- You may instead take full ownership of the site under the buyout arrangement in Section 4.
5. Your Responsibilities
You agree to:
- Provide accurate and timely information about your business for the purpose of building the website.
- Respond to communications within a reasonable timeframe.
- Ensure that any content, images, or materials you provide are owned by you or properly licensed.
6. Revisions
Before go-live, our offer covers the initial build plus one round of revisions based on the information you provide. Further rounds, or significant changes to scope or direction, may incur additional costs which will be communicated and agreed upon before any additional work begins.
After go-live, all changes are quoted and charged separately as set out in Section 3. They are not part of the maintenance plan.
7. No Guarantees
While we aim to deliver a website you love, we do not guarantee specific business outcomes, search engine rankings, traffic, or revenue as a result of the website we build.
8. Limitation of Liability
To the maximum extent permitted by Australian law, Vyndigital's total liability to you for any claim arising from or related to our services is limited to the amount you have paid us (if any). We are not liable for indirect, incidental, or consequential damages.
9. Termination
Either party may end the arrangement at any time before the launch fee is paid. If you choose not to proceed, all work remains our property as outlined in Section 4. If we choose not to proceed, you owe nothing.
After go-live, either party may cancel the monthly maintenance plan under the terms set out in Section 4a. We may suspend a website where the subscription is more than 14 days overdue, after written notice.
10. Governing Law
These terms are governed by the laws of Australia. Any disputes will be resolved in accordance with Australian law.
11. Changes to These Terms
We may update these terms from time to time. The latest version will always be available on this page. Continued use of our services after changes constitutes acceptance of the updated terms.
